By-Laws

ARTICLE I – DUES

The amount of annual dues shall be determined by the Executive Board and shall be approved by the general membership at a regular meeting.

Section 2: Membership in the Society is per family, and the dues collected entitle all family members age 18 and over to participate in the Society’s activities. All adult family members shall be entitled to vote on Society issues at general meetings.

Section 3: Annual membership cards shall be issued to all families whose dues are current.

Section 4: Annual dues are payable on January 1st. Any family not having paid dues by the end of March of each year shall no longer be considered members of the Society and will be dropped from the mailing list.

Section 5: The full amount of annual dues shall be collected from families when they become members.

ARTICLE II – DUTIES OF OFFICERS

Section 1: The duties of the officers shall be in accordance with their titles.

Section 2: The President presides at all meetings; represents the Society at all times; upholds and maintains the policies of the Society; promotes better pond and water gardening practices for homes and community; and inspires Society members to better pond and water gardening practices and procedures.

Section 3: The Vice-President presides at meetings in the absence of the President. In the event of resignation of the President, the Vice-President takes on the respon- sibilities of the President. The Vice-President assists in coordination of monthly educational programs with input from the Executive Board and the general membership.

Section 4: The Secretary keeps accurate minutes of proceedings of both regular and Executive Board meetings, keeping a separate book for each one, and conducts Society correspondence promptly and properly.

Section 5: The Treasurer is the custodian of all Society funds and chairs the Finance Committee. This officer collects dues, as approved by the membership, deposits them in the Society’s bank account, pays out funds as appropriate to meet the Society’s expenses and as approved by the Executive Board. The Treasurer renders a monthly report of Society funds to the membership.

Section 6: The Newsletter Editor prepares and mails to the membership a monthly newsletter to give information about meetings and provide other information and announcements of interest to the membership; and assists with publicity as needed.

ARTICLE III – EXECUTIVE BOARD

The Executive Board shall transact all business of the Society, except those matters which require a vote of the general membership, in order that the membership meetings may be devoted primarily to programs about ponds and water gardening.

ARTICLE IV – COMMITTEES

The Society’s standing committees shall be as follows: Publicity and Special Events, Program, Membership & Volunteer, and Library.

Section 2: The Chairpersons of the Standing Committees shall be appointed by the President with the approval of the other elected officers, and each Chairperson shall appoint additional committee members as needed.

Section 3: Ad hoc committees shall be appointed, as needed, by the President

ARTICLE V – MEETINGS

The Society shall meet monthly unless the Executive Board determines otherwise. The November and December meetings may be combined and held either at the end of November or very early in December. This meeting will be devoted to election of officers, annual reports, and a Christmas Party.

Meetings may be held either at the homes of members by invitation or in other facilities as deemed appropriate for the program of the day.

Section 2: The Executive Board shall meet before monthly meetings, the time and place to be set by the President.

ARTICLE VI – SUSPENSION OF BY-LAWS

A By-Law or Rule of Order may be suspended in case of an emergency, and only under extenuating circumstances, by a two-thirds vote of the members present, but only for a single meeting.

ARTICLE VII – QUORUM

A simple majority of members present shall constitute a quorum for both general meetings and Executive Board meetings.

This Club shall be governed by Robert’s Rules of Order, Revised.
